Terms and Conditions of Use

1. Access and Accounts

• 1.1 Registration: Certain features require account registration with accurate and current information.
• 1.2 Security: Users must maintain credential confidentiality and report unauthorized account use immediately.
• 1.3 Beta Access: Prototype or beta tool versions may contain bugs, errors, and be subject to significant changes.

2. Intellectual Property Rights

• 2.1 Twelf.ai Ownership: The company retains all rights to Services, including proprietary neuro-symbolic models, algorithms, software, and trademarks. Nothing grants rights to underlying code or model weights.
• 2.2 Your Content (Inputs): Users retain ownership of uploaded data, text, and files, granting a non-exclusive, worldwide, royalty-free license to process inputs solely for service provision.
• 2.3 AI Generated Content (Outputs): "Subject to your compliance with these Terms, Twelf.ai assigns to you all its right, title, and interest" in outputs generated from your inputs. Output may not be unique across users.

3. Acceptable Use Policy

Users agree NOT to:

• 3.1 Reverse Engineering: Reverse engineer, decompile, or attempt to derive source code or model weights.
• 3.2 Prompt Injection: Manipulate AI agents via prompt injection or adversarial attacks to bypass safety filters.
• 3.3 Competitive Use: Build competitive products or train other AI models using the Services.
• 3.4 Unlawful Content: Generate illegal, defamatory, violent, or infringing content.

4. Accuracy of AI and "Hallucinations"

• 4.1 No Guarantee of Accuracy: "Artificial Intelligence and Large Language Models (LLMs) are probabilistic and may produce inaccurate, incomplete, or offensive information."
• 4.2 Human Review: Users must evaluate output accuracy before reliance. Twelf.ai is not liable for errors or actions based on output.
• 4.3 Not Professional Advice: Services are for informational and strategic planning only, not legal, medical, or financial advice.

5. Third-Party Providers

Services may utilize third-party foundation models (OpenAI, Google, Anthropic). Users acknowledge:

• 5.1 Availability: Company is not responsible for third-party service interruptions.
• 5.2 Policies: Use is subject to third-party provider acceptable use policies.

6. Confidentiality

• 6.1 Definition: Confidential Information means non-public information designated as confidential.
• 6.2 Protection: Both parties protect Confidential Information with reasonable care and do not disclose to third parties except as required for service provision.

7. Disclaimers and Limitation of Liability

• 7.1 "As Is" Basis: "THE SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE.' WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED."
• 7.2 Liability Cap: "TWELF.AI'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM."
• 7.3 Indirect Damages: Company is not liable for indirect, incidental, special, or consequential damages, including loss of data, revenue, or profits.

8. Indemnification

Users indemnify Twelf.ai, its officers, directors, and employees from claims, liabilities, damages, and expenses arising from: (a) service use violating these Terms; (b) third-party rights violations; or (c) input content.

9. Term and Termination

• 9.1 Termination for Convenience: Company may suspend or terminate access anytime upon notice.
• 9.2 Effect of Termination: User rights cease immediately. IP, Confidentiality, Liability, and Indemnification sections survive.

10. Governing Law and Dispute Resolution

• 10.1 Governing Law: Terms are governed by Republic of Singapore law.
• 10.2 Dispute Resolution: Disputes are resolved through arbitration administered by the Singapore International Arbitration Centre under SIAC Arbitration Rules, seated in Singapore, with English as the language.
